Terms of Service

These Terms of Service govern your access to and use of RDTMK, a platform for planning, creating, reviewing, and tracking Reddit marketing campaigns. Please read them carefully before using the Services.
1. Agreement to Terms; Definitions
These Terms of Service (the "Terms") are a binding agreement between [Company Legal Name], a company incorporated in the Hong Kong Special Administrative Region ("we", "us", or "our"), and the business entity that accepts them (the "Customer", "you", or "your"). You accept these Terms by clicking through at sign-in, by creating an account, or by accessing or using any part of the Services. If you do not agree to these Terms, do not use the Services.
In these Terms:
- "Services" means the RDTMK platform, including its web application, APIs, integrations, and related features we make available to you;
- "Authorized Users" means the Customer's employees, contractors, and other staff whom the Customer permits to use the Services on its behalf;
- "Clients" means the brands or businesses that the Customer (typically a marketing agency) serves using the Services;
- "Client Reviewers" means external individuals whom the Customer invites, via review or project share links, to view, comment on, or approve campaign content;
- "Customer Content" means all data, text, images, files, and other materials that the Customer or its Authorized Users submit to the Services;
- "Credits" means the usage units granted under a subscription plan that are consumed by AI generation and other metered features; and
- "Outputs" means content generated by the AI-powered features of the Services.
2. Eligibility; Business Use
The Services are offered for business use only and are not intended for or directed at consumers. By accepting these Terms, you represent that you are at least 18 years old, that you are acting on behalf of a business, and that you have the authority to bind that business to these Terms. To the extent permitted by applicable law, statutory protections that apply only to individuals acting as consumers are disapplied and do not extend to your use of the Services.
3. Accounts and Security
You sign in to the Services using Google sign-in or a one-time code sent to your email address; an account is created for you on your first login. You are responsible for maintaining the security of your sign-in credentials and of the email inboxes used to receive one-time codes, and for all activity that occurs under your account, whether carried out by you or by your Authorized Users. You must promptly notify us at the contact address below if you become aware of any unauthorized access to or use of your account.
4. Subscriptions, Fees, and Billing
Paid plans are monthly subscriptions billed in advance through Stripe, our payment processor. Current plan features and pricing are shown within the Services. Subscriptions renew automatically at the end of each billing cycle until cancelled. Where a 14-day free trial is offered, the trial converts to a paid subscription at the end of the trial period unless you cancel before the trial ends. We may change our prices by giving you at least 30 days' notice, with changes taking effect at the start of your next billing cycle. All fees are exclusive of taxes, duties, and similar governmental charges, which you are responsible for (other than taxes on our income).
5. Credits
Each subscription plan includes a monthly grant of Credits, which are consumed by AI generation and other metered features as described within the Services. Credits reset at the start of each billing cycle, and unused Credits do not roll over. Credits have no cash value, are non-transferable and non-refundable, and are forfeited when your subscription or account terminates.
6. Cancellation and Refunds
You may cancel your subscription at any time through the Services or by contacting us. Cancellation takes effect at the end of the then-current billing period, and you retain access to paid features until then. Fees already paid are non-refundable, except where a refund is required by applicable law or where we choose, in our sole discretion, to issue a full or pro-rata refund.
7. Acceptable Use
You must use the Services in compliance with all applicable laws and regulations and, because the Services are built around Reddit marketing, in compliance with the Reddit User Agreement, the Reddit Content Policy, and the rules of each subreddit in which you participate. Without limiting the foregoing, you must not use the Services to:
- send spam or unsolicited bulk content;
- manipulate votes, engagement, or other Reddit signals, or evade subreddit or site-wide bans;
- run undisclosed or deceptive automation, or otherwise mislead communities about who is posting and why;
- harass, defame, or abuse any person, or publish misleading, deceptive, or unlawful marketing content; or
- circumvent Reddit rate limits, moderation systems, or other technical restrictions.
You are solely responsible for (a) all content you publish using or assisted by the Services, and (b) your own Reddit accounts, including any warnings, suspensions, or bans those accounts may incur. In addition, you must not: reverse engineer, decompile, or attempt to extract the source code of the Services; resell the Services or make them available to third parties other than in the course of serving your own Clients; abuse the integration API, webhooks, or workspace features, including by exceeding reasonable usage limits or interfering with the operation of the platform; probe, scan, or test the security of the Services without our prior written consent; or use the Services to build a competing product or service.
8. Customer Content; Agency-Client Relationships
As between the parties, you retain all rights in Customer Content. You grant us a limited, worldwide, non-exclusive license to host, process, transmit, and display Customer Content solely as necessary to provide, secure, and support the Services. You represent and warrant that you have obtained all rights, consents, and authorizations from your Clients necessary to input Client data into the Services and to run campaigns on their behalf, and we process Client-brand data on your behalf and in accordance with your instructions as expressed through your use of the Services. You are responsible for the Client Reviewers you invite, including the access you grant them, their conduct on the platform, and any lawful basis needed to share content or personal data with them, and you are responsible for resolving any disputes between you and your Clients.
9. AI-Generated Content
Certain features of the Services generate Outputs using third-party artificial intelligence models. Outputs are produced by statistical methods and may be inaccurate, incomplete, or similar or identical to outputs generated for other customers. You must review and approve all Outputs before publishing them, and you are solely responsible for their accuracy, legality, and any required disclosures (including advertising, sponsorship, or affiliation disclosures). We do not guarantee any marketing results, engagement levels, lead quality, or other outcomes on Reddit or elsewhere.
10. Third-Party Services
RDTMK is an independent product. We are not affiliated with, endorsed by, or sponsored by Reddit, Inc. Reddit may change its APIs, data availability, or policies at any time, and such changes may affect or interrupt features of the Services. Payments are processed by Stripe under Stripe's own terms. AI features rely on third-party model providers accessed via OpenRouter. Google sign-in is provided under Google's terms. We are not responsible for the acts, omissions, or availability of any third-party service.
11. Intellectual Property; Feedback
The Services, including all software, designs, documentation, and related intellectual property, are owned by us or our licensors. Except for the limited right to use the Services during your subscription in accordance with these Terms, no rights in the Services are granted to you. We may collect and use usage data in aggregated and de-identified form to operate, analyze, and improve the Services. If you provide suggestions or feedback about the Services, we may use it without restriction or obligation to you.
12. Confidentiality
Each party may receive non-public information of the other party that is marked as confidential or that should reasonably be understood to be confidential ("Confidential Information"). The receiving party will use Confidential Information only to perform under these Terms and will protect it with at least reasonable care. Confidential Information does not include information that is or becomes publicly available through no fault of the receiving party, was already lawfully known to the receiving party, is independently developed without use of the disclosing party's information, or is lawfully received from a third party. Either party may disclose Confidential Information where required by law, giving the other party reasonable prior notice where lawful. These obligations survive for three years after termination of these Terms, and indefinitely with respect to trade secrets.
13. Data Protection
Our handling of personal data is described in our Privacy Policy, which forms part of these Terms. We handle personal data in accordance with the Hong Kong Personal Data (Privacy) Ordinance (Cap. 486) (the "PDPO"). For personal data of your Clients or Client Reviewers that you input into the Services or whose access you initiate, you are responsible for lawful collection and for any required notices or consents, and we process such data on your behalf and in accordance with your instructions.
14. Service Availability; Modifications; Beta Features
We will use commercially reasonable efforts to keep the Services available, but we do not guarantee uninterrupted availability and offer no uptime guarantee or service level agreement. The Services may be temporarily unavailable for maintenance, and we may modify features from time to time. If we materially remove a feature from a paid plan, we will give reasonable advance notice. Features identified as beta, preview, or experimental are provided as-is, may not operate correctly, and may be changed or withdrawn at any time.
15. Suspension and Termination
We may suspend or terminate your access to the Services for non-payment, material breach of these Terms (including violations of the Acceptable Use section or of Reddit's policies), conduct that poses a security risk to the Services or to others, or where required by law, giving you notice where practicable. Either party may terminate these Terms if the other party commits a material breach and fails to cure it within 30 days of written notice. Upon termination, your access to the Services ends; you will have a 30-day window to export your Customer Content, after which we may delete it. Termination does not relieve you of the obligation to pay fees accrued before the effective date of termination.
16. Disclaimers
The Services are provided on an "as is" and "as available" basis. To the maximum extent permitted by the laws of Hong Kong, we exclude all warranties, conditions, and other terms implied by statute or common law, including implied warranties or conditions of merchantability, satisfactory quality, fitness for a particular purpose, non-infringement, and accuracy, and including any terms implied by the Sale of Goods Ordinance (Cap. 26) or the Supply of Services (Implied Terms) Ordinance (Cap. 457), in each case to the extent they may be excluded in dealings between businesses.
17. Limitation of Liability
To the maximum extent permitted by law, neither party will be liable for any indirect, consequential, special, incidental, or punitive damages, or for lost profits, lost data, or loss of goodwill, however arising and even if advised of the possibility of such damages. Each party's aggregate liability arising out of or relating to these Terms is capped at the total fees paid or payable by you to us in the 12 months preceding the event giving rise to the claim. Nothing in these Terms excludes or limits liability that cannot be excluded under Hong Kong law, including liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation.
18. Indemnification
You will defend, indemnify, and hold us harmless from and against any third-party claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to: (a) Customer Content; (b) your Reddit accounts or any content you publish using or assisted by the Services; (c) your violation of Reddit's terms or policies or of applicable law; (d) disputes between you and your Clients or Client Reviewers; or (e) your breach of these Terms.
19. Governing Law and Dispute Resolution
These Terms, and any dispute or claim arising out of or in connection with them or their subject matter, are governed by the laws of the Hong Kong Special Administrative Region. The courts of Hong Kong have exclusive jurisdiction to settle any such dispute or claim, and each party irrevocably submits to that jurisdiction.
20. Changes to These Terms
We may update these Terms from time to time. If a change is material, we will notify you at least 14 days before it takes effect, by email or by notice within the Services. Your continued use of the Services after the effective date constitutes acceptance of the updated Terms. The "Last updated" date above indicates the version currently in force.
21. General
These Terms, together with the Privacy Policy and any plan or order details presented within the Services, constitute the entire agreement between the parties regarding the Services and supersede all prior or contemporaneous agreements on that subject. You may not assign these Terms without our prior written consent; we may assign them to an affiliate or in connection with a merger, acquisition, or sale of assets. If any provision of these Terms is held unenforceable, the remaining provisions remain in full force. A failure to enforce a provision is not a waiver of it. The parties are independent contractors, and nothing in these Terms creates a partnership, agency, or employment relationship. Neither party is liable for delay or failure to perform caused by events beyond its reasonable control. Notices to us may be sent to the contact email below; notices to you may be sent to the email address associated with your account. These Terms are prepared in English, and the English version controls over any translation.
